Terms of Service

1. Acceptance and Scope of Agreement

By accessing, using, or subscribing to the FileFlowHub platform (the "Service"), you agree to be bound by these Terms of Service, our Privacy Policy, and our Cookie Policy. If you do not agree to these terms, do not use the Service. These terms apply to all users, including those who are visiting, browsing, or subscribing to paid plans.

2. Description of Service

FileFlowHub is a cloud-based platform that orchestrates document workflows, manages file processing pipelines, and integrates multiple APIs into a unified system. The platform includes dashboard access, workflow builder tools, API endpoints, and integration connectors. We provide the Service on an "as-is" basis. While we strive for 99.9% uptime, FileFlowHub does not guarantee continuous, uninterrupted availability or that all features will be error-free.

3. Account Registration and User Responsibilities

Registration: You must provide accurate, complete registration information including your name, email, company, and phone number. You are responsible for maintaining the confidentiality of your password and account credentials.

Prohibited Activities: You agree not to share login credentials with unauthorized persons, use the Service to process illegal content, launch denial-of-service attacks, scrape the platform, reverse-engineer the code, or circumvent security controls.

Account Security: You are fully responsible for all activity occurring under your account, including unauthorized access. Notify us immediately of any suspected breach at [email protected].

4. Billing, Payment, and Refunds

Billing Cycles: Starter and Pro plans are billed monthly in advance. Enterprise plans are billed according to the custom agreement. Usage-based overage fees are calculated monthly based on document volume processed.

Payment Methods: You authorize FileFlowHub to charge your designated payment method on file for all fees. If payment fails, we will retry for up to 3 business days. If payment ultimately fails, we may suspend your account.

Refund Policy: Starter and Pro plans are non-refundable. Enterprise customers may request refunds within 30 days of initial subscription. Usage overages are non-refundable. Refund requests must be submitted in writing.

5. Acceptable Use and Prohibited Content

You agree not to use FileFlowHub to process or store: illegal content, malware, stolen financial data, unencrypted personally identifiable information without consent, content that violates third-party intellectual property rights, or materials that threaten, harass, or defame others. Violations may result in immediate account termination without refund.

6. Intellectual Property Rights

Platform IP: All FileFlowHub software, documentation, logos, designs, and workflows created by us remain our exclusive property. You receive a limited, non-exclusive, revocable license to use the platform as described in these terms.

Customer Data and Workflows: You retain all intellectual property rights to documents and data you upload to FileFlowHub. We own no rights to your workflows or custom integrations you create. You grant us the right to store, process, and use your data to operate the Service.

7. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW: FileFlowHub shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including lost profits, data loss, or business interruption — even if we have been notified of the possibility of such damages.

Liability Cap: FileFlowHub's total cumulative liability arising from any claim shall not exceed the fees you paid to us in the 12 months preceding the claim.

8. Termination and Suspension

Termination by You: You may terminate your account at any time by contacting support. Upon termination, your account is deactivated and you lose access to the platform. We will delete your personal data within 30 days, but may retain anonymized, aggregated data.

Termination by FileFlowHub: We may terminate your account immediately if you violate these terms, engage in illegal activity, or pose a security risk. We may also terminate with 30 days' notice if we discontinue the Service.

9. Indemnification

You agree to indemnify, defend, and hold FileFlowHub harmless from any third-party claims, damages, or expenses arising from: your violation of these terms, your use of the Service in violation of applicable law, or any content you upload that infringes third-party intellectual property or privacy rights.

10. Modifications to Terms

FileFlowHub may modify these Terms of Service at any time. If we make material changes, we will notify you via email at least 30 days before the change takes effect. Continued use of the Service after the modification date constitutes acceptance of the updated terms.

11. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of California, without regard to conflict of law principles. Any legal dispute arising from these terms shall be resolved exclusively in the state and federal courts located in San Francisco County, California. You agree to submit to the personal jurisdiction of those courts.
